The New Year, New Me Styling Program ("Agreement") is entered into by and between The Edit The Style LLC, an Illinois limited liability company, located at 1020 W Armitage Avenue, Chicago, Illinois ("Stylist"), and the individual completing the purchase through the Stylist’s website ("Client"). By completing the online purchase, the Client acknowledges and agrees to be bound by the terms of this Agreement.

1. Services Provided

The E|S agrees to provide the following services to the Client during the term of this Agreement:

A. Closet Edits

• One Closet Edit: The E|S will perform a seasonal closet edit for the client’s closet during the term of this Agreement. The Edit session takes up to 2 hours and will be conducted with both the client and The E|S present. The client will be responsible for determining what items stay or are donated upon The E|S expert advice. Following the sessions The E|S will ensure all remaining clothing is stored appropriately. For any items going to consignment or donation, The E|S will deliver to Galore Consignment (any other donation locations would be at the discretion and responsibility of the client).

B. Shopping & Style Sessions

• One Shop & Style Session: The E|S will shop for and style the Client's seasonal wardrobe in their home. Note that clothing purchases are not included in the service fee and are the full responsibility of the Client. All clothing purchases are to be paid upon the completion of the style session and are considered final sale unless otherwise negotiated directly between the retailer and client. The E|S will bring all items for consideration to the client’s home and conduct a full style session. Within 3 business days of the session, the client will receive a digital lookbook documenting all styled looks. 

2. Geographic Restrictions and Travel Expenses

A. Service Location

• The Client must be located within a 40-mile radius of the Chicago city limits for the Stylist to provide in-person services under this Agreement without additional travel fees.

B. Clients Outside the 40-Mile Radius

• For Clients located outside the 40-mile radius, all airfare, lodging, and other travel-related expenses for in-person services are the Client’s responsibility and are not covered by the package fee.

• Any travel arrangements for the Stylist must be made at the discretion and expense of the Client. Travel costs must be pre-approved by the Stylist, and arrangements must be finalized at least two (2) weeks prior to the scheduled service date.

3. Compensation

• Fee: The total cost for the services described in this Agreement is $5000 (not including any applicable discounts or coupons applied upon online checkout)

• Payment Terms: The full amount is due upfront upon execution of this Agreement. Alternatively, the Client may opt to pay through a payment plan offered by Affirm, subject to Affirm’s terms and conditions.

• Additional Hours: Any additional services or hours of service beyond the scope of this agreement will be billed separately. 

4. Term and Termination

• Term: This is a one time service Agreement effective date of purchase and completed upon the completion of the two service sessions. Sessions must be scheduled within 3 months of purchase date.

• No Returns or Cancellations: The Client acknowledges and agrees that there are no returns, refunds, or cancellations mid-term. The Client is obligated to pay the full fee, regardless of the use of services.

5. Client Responsibilities

The Client agrees to cooperate with The E|S by providing access to their wardrobe, allowing the Stylist to conduct the agreed-upon services, and making any necessary mutually agreed upon clothing purchases. The Client is responsible for the cost of all clothing and accessories.

6. Confidentiality

Both parties agree to maintain confidentiality regarding any personal or business information shared during the term of this Agreement.

7. Liability

The Stylist shall not be held liable for any loss, damage, or injury that may occur to the Client or the Client’s property during the performance of the services, except in cases of gross negligence or willful misconduct.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal action arising from this Agreement shall be brought in the courts located in Cook County, Illinois.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous understandings, whether written or oral. Any modifications to this Agreement must be in writing and signed by both parties.

10. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Acceptance of Terms

By completing the purchase online, the Client confirms that they have read, understood, and agreed to be bound by the terms of this Agreement.
